Dnbmentors Private Limited and its affiliate entities (hereinafter referred to as “Dnbmentors”, “we”, “us”, or “our”) provide Dnbmentors’s products, programmes, and services. These Terms of Use govern your use of the Dnbmentors website, as well as any other products or services referenced within. By clicking “Accept” when requested, creating an Account, or using or accessing the Services, you agree to abide by these Terms and all other operating rules, regulations, and procedures that we may issue on the Services from time to time, each of which is periodically incorporated by reference. If you do not agree to any of these Terms, including the part requiring mandatory arbitration, you must immediately cease using the Services. Due to the fact that certain of our Services may (or in future) require downloading software to your computer, phone, tablet, or other device, you agree that we may automatically update this software and that these Terms will apply to such updates as well.

By accepting these Terms, you acknowledge that they form a legally binding contract between Dnbmentors and you, the user (hereafter referred to as (“you”, “your”) (each a “Party” to the contract and collectively, the “Parties”). By accessing or using our Services, you agree to be governed by these Terms, as well as any rules linked herein.

Beginning of Term

The Term begins when you access the Services and ends when you stop using them. By clicking the button and providing your username, you are indicating that you have “signed” these Terms.

Using this Platform

To take advantage of our Services, you must first:

Be at least the age of majority and not be barred from contracting under any legislation.
Be a licensed Doctor who has graduated in MBBS and is preparing for DNB examinations and MRCS examinations.
Carry out the registration procedure.
Accept our Terms and Conditions.
Provide accurate, up-to-date, and comprehensive legal and contact information.
You represent and warrant that you are authorized to accept these Terms on behalf of any organization with which you may be involved.
You represent and warrant that you will use the Services solely for non-commercial purposes by using them.
By using the Services, you represent and warrant that you comply with all of the foregoing conditions and that you will not use the Services in violation of any applicable laws or regulations. Dnbmentors reserve the right to deny Service, terminate users’ Accounts, and change eligibility restrictions at any time.
By accepting these terms, you represent and warrant that you meet the eligibility requirements set out herein and are thus entitled to use the Services. If you do not meet any of the conditions set forth herein, you are not permitted to access/use the Services and must terminate your registration as a user.

Your personal data

To offer you with the Services described in these Terms, we must collect certain information about you, including but not limited to your basic information, educational qualifications, and employment history, as described in our Privacy Policy. You accept that we may gather your Personal Data with your agreement.

Definitions

The term “Student” refers to a User who utilizes any Service offered on the Dnbmentors Platform.
The term “Courses” encompasses, but is not limited to, online courses, series and webinars.
The term “Dnbmentors Platform” refers to Dnbmentors’ website, which is used to supply Dnbmentors’ products and services.
The term “Off-topic Comments” refers to comments that are unrelated to the overall subject matter of a Course.
The term “Participating Institutions” refers to professionals and other related institutions that provide services through the Dnbmentors Platform or are otherwise affiliated with Dnbmentors.
The term “Services” refers to the services provided by Dnbmentors via the Dnbmentors Platform in the form of Courses and other educational Programs that Dnbmentors introduces on the Dnbmentors Platform.
The term “Instructor” refers to the Expert and Professional Educators who provide services through the Dnbmentors Platform.
The term “Terms” refers to these terms and conditions of usage.
The term “Users” refers to everyone who uses the Dnbmentors Platform.
The term “User Content” refers to the details and information provided by the user in his/her profile as well his overall progress, comments and inputs in any group or a forum.

Registration on the Platform

To use the Services, you must first create a User account (“Account”) on the Website. Please supply us with accurate, comprehensive, and up-to-date information to ensure continuing access to our Services. If the aforementioned requirement is not met, the relevant User Account may be suspended.
You agree not to (1) portray yourself as another person by selecting or using as a username another person’s name, email address, or phone number; (2) use an abusive, vulgar, or obscene name as a username; or (3) use a fictitious name or pseudonym as a username.
Each and every action that takes place on your Account is completely your responsibility. You acknowledge and agree that you will not disclose your user account password to anyone or engage in any other behaviour that encourages unauthorised use of your user Account. You must take all reasonable precautions to safeguard your password, including but not limited to limiting access to your personal device.
Any change in your eligibility to use the Services, a breach of security, or unauthorised use of your Account must be reported to us promptly using our Services. You shall have the ability to delete your Account by submitting a request using our Services or by writing to us directly.
You understand and accept that by creating a User Account, you consent to receive marketing communications from us via email and SMS. You acknowledge and agree that any communication or notification you receive from us electronically will qualify as legal notice and will fulfil all of the legal notice requirements in effect at the time of transmission.
Regardless of anything included below, after registering on the Dnbmentors Platform as described above, users may be needed to submit additional papers and information prior to enrolling in a given course as and when Dnbmentors or the Instructors request.

Services

The Services provided by Dnbmentors are specified in the definitions and are governed by this Agreement. Services provided by Dnbmentors will have a variety of formats, as described above. Even though we promise to deliver only the best services, things do go wrong. Dnbmentors maintains the right to cancel, stop, or postpone any Service, as well as to change any assignment, quiz, or other assessment’s content or marks or point value. Sections on Disclaimers and Limitations of Liability apply to all offers.
When you sign up for courses delivered by experts on Dnbmentors, the experts may provide you with a Certificate for completing the courses through Dnbmentors, which will include a reference to Dnbmentors. If any experts give you with academic credits or Certification, the experts are solely responsible for such credits or Certification. You must only contact the Certificate supplying professionals if you have a problem getting or valuing the Instructor’s Certificate.
The Services enable you to share your material, such as quizzes developed by you, and other assignments prepared by you, as well as forum posts you produce, with Dnbmentors, Instructors, and/or other users (“User Content”). You maintain all intellectual property rights in and to the User Content you share and are solely responsible for it.

User Warranties

It is understood and agreed by all participants that;

I’m only going to sign up for one account.
My responses to quizzes, examinations, and other tasks shall be my own.
I will not make available to anybody else the solutions to quizzes, examinations, or other tasks. This includes both my own solutions and any solutions offered by the Instructors or others.
I shall refrain from engaging in any such activity that would dishonestly boost my performance or the outcomes of others.
Because I will not be able to reschedule a course, I should make every effort to be on time.
I agree to be kind and considerate of others’ feelings. I will refrain from using or sharing language or anything that might be seen as provocative or insulting.
By submitting the same remark numerous times, or by publishing Off-Topic Comments that are repetitious or irrelevant to a Course, I promise not to spam anybody else.

Intellectual Property Rights

The Services comprises Intellectual Property of Dnbmentors supplied by our many writers and specialists (Instructors) in the form of content, images, videos, audios, text, and any other digital content. These is an agreement for the use of Services, and you are not given a license to any Content under this Terms.

Except to the extent that relevant laws restrict us from doing so, you will not, actively or passively:

(1) Reverse engineer, decompile, disassemble, or perform any other attempt to identify the source code, object code, or underlying structure, methodologies, or algorithms of, or used in, the Services;(2) Eliminate any proprietary notices or labelling from the Services Content; replicate or copy the Services Content in its entirety or in part;(3) Modification, translation, or creation of derivative works based on the Content are prohibited;(4) Duplicate, redistribute, sell, assign, or in any other way transfer or confiscate the rights to Content;(5) Any derivative product developed from any of the preceding is prohibited;(6) Introduce automated agents or scripts to the Services without our express written authorization in order to create numerous accounts, generate automated searches, requests, and inquiries, or to strip or mine data from the Services; or(7) Permit third parties to access the Services or Content in any manner not expressly authorised by these Terms of Service.

Our license to you

We provide you a limited, personal, non-exclusive, non-transferable, and revocable license to use our Services, subject to these Terms and our rules. You may use content from our Services solely for personal, non-commercial purposes, unless you have prior permission from us to do so. Additionally, you agree to establish, access, and/or use just one user account, and to not share access to or information about your account with any third party. By using our Services, you do not acquire any intellectual property rights in our Services or the content to which you have access.

How we may use User Content

You grant Dnbmentors a fully transferable, royalty-free, permanent, sublicensable, non-exclusive, worldwide license to reproduce, distribute, edit, create derivative works based on, publicly perform, publicly display, and otherwise use the User Content. This license includes the right for Dnbmentors to permit Participating Institutions/Organizations to utilize User Content independently of the Services with their registered students. Nothing in these Terms shall be construed as limiting Dnbmentors other legal rights in User Content, such as those granted under other licenses. We retain the right to delete or edit User Content for any reason, including where we feel the User Content violates these Terms.

Copyright & Trademark Policy

Dnbmentors is committed to upholding the intellectual property rights of our users, participating institutions & organizations, and other third parties, and we expect our users to do the same while using the Services. The content on this platform including Questions and Answer sets, Quizzes, MOCK OSCE sets & Blog posts along with other media including images are submitted by authors and instructors from all over India. While we take necessary measures to make sure there is no copyrighted content present in the submitted material, but incase you find anything that is someone else’s intellectual property, then please let us know. Our team will examine your request and will remove the content/course material/article/presentation/media file as soon as possible.

Security

We are concerned with our users’ security. While we make every effort to safeguard the security of your account and associated information, Dnbmentors cannot guarantee that unauthorised third parties will be unable to circumvent our security measures. Kindly alert us immediately through email at tech[at]dnbmentors[dot]com of any compromise or unauthorised use of your account.

Charges for Services

Dnbmentors charges a fee for its services. Unless otherwise specified, all charges are in Indian Rupees (More currencies will be added soon). You are responsible for timely payment of all fees and taxes connected with the applicable paid Services. If your payment method is declined or your account remains unpaid, you will be unable to access the material. Dnbmentors maintains the right, in its sole discretion, to modify any fees. Any change, update, or modification will take effect immediately following its publication on the applicable Services. Refunds for paid Services may be granted as described in the Refund Policy.

Modification & Termination of Services

Our Services are continually evolving and improving. We have the right to modify or remove functionalities, features, or requirements, as well as to suspend or terminate a Service entirely. As a result, Dnbmentors has the right to discontinue your usage of any Service for any reason. None of Dnbmentors, its Participating Institutions and Instructors, its contributors, sponsors, and other business partners, as well as their respective employees, contractors, and other agents (collectively, the “Dnbmentors Parties”), shall be liable to you for any such activity. You may terminate your use of our Services at any time, but we will be saddened to see you depart.

Reviews & Feedback

We encourage your thoughts, ideas, comments, and other feedback on the Services (“Feedback/Review”). By sending any Feedback, you allow us the right to use the Feedback without any limitation or any reimbursement to you. By accepting your Feedback, Dnbmentors does not renounce any rights to utilise comparable or related Feedback already known to Dnbmentors, generated by its employees or contractors, or received from other sources.

Disclaimers

THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON A “AS IS” BASIS WITHOUT GUARANTEE OF ANY KIND, WHETHER STATED OR IMPLIED. THE DNBMENTORS PARTIES CLEARLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, SUITABILITY FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USE OF COMMERCE. THE PARTIES ADDITIONALLY DISCLAIM ANY AND ALL LIABILITY RELATING TO YOUR ACCESS OR USE OF THE SERVICES. YOU RECOGNISE AND AGREE THAT ANY ACCESS TO OR USE OF THE SERVICES OR SUCH CONTENT IS AT YOUR OWN RISK.

Limitation of Liability

TO THE GREATEST EXTENT PERMISSIBLE BY LAW, THE DNBMENTORS PARTIES SHALL NOT BE RESPONSIBLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER SUFFERED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR UTILISE THE SERVICES; (B) ANY BEHAVIOUR OR MATERIAL OF ANY PARTY OTHER THAN THE APPLICABLE DNBMENTORS PARTY, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR UNLAWFUL ACTIVITY; OR (C) UNLAWFUL ACCESS, USE, OR MODIFICATION OF YOUR CONTENT OR INFORMATION. IN NO CIRCUMSTANCES CAN DNBMETORS’S AGGREGATE RESPONSIBILITY FOR ALL CLAIMS CONNECTED TO THE SERVICES EXCEED INR 4000 OR THE ENTIRE AMOUNT OF MONEY COLLECTED BY DNBMENTORS FROM YOU FOR THE USAGE OF THE SERVICES DURING THE LAST THREE (3) MONTHS, WHICHEVER IS LARGER.

YOU RECOGNIZE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET OUT IN THESE TERMS OF USE REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND THE DNBMENTORS PARTIES, AND THAT THESE LIMITS ARE NECESSARY FOR DNBMENTORS TO PROVIDE THE SERVICES TO YOU ECONOMICALLY.

YOU AGREE THAT ANY CAUSE OF ACTION CONNECTED TO THE SERVICES MUST START WITHIN SIX (6) MONTHS AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BANNED.

Release

To the fullest extent permitted by applicable law, you hereby release Dnbmentors Private Limited and its affiliates, as well as all other users of the Services, from all responsibilities, including but not limited to claims, causes of action, liability, expenses, demands, and/or damages (actual and consequential), of every kind and nature, known and unknown, and claims of negligence, arising out of your use of or inability to use, or in connection with your use of, the Services, this includes any disputes that may arise between users and third-party acts or omissions.

Revisions to the Terms

We retain the right to amend these terms at any moment in our sole discretion. Any changes to the Terms will take effect immediately upon our publication. We shall take reasonable measures to notify you of any substantial changes to the Terms. In any situations, your continued use of the Services following such posting, with or without notice, represents binding acceptance of the updated Terms.

If a provision of these Terms is found to be unenforceable, it will have no effect on the remaining provisions. If you violate these Terms and we do not immediately take action, this does not mean that we waive any rights we may have (such as taking action in the future).

Community and platform guidelines

Dnbmentors is committed to provide high-quality educational content to all students preparing for DNB examinations. We are adamant about maintaining our students’ right to free speech and expression, as well as the academic freedom of our Participating Institutions and Instructors. Additionally, we aim to ensure the safety and comfort of all of our Students and Instructors when they use our Services. We’ve created these guidelines to ensure that users understand and adhere to the rules whether they participate in our online community or use our Services in any other way.

While we do not routinely screen or monitor user-provided material, we reserve the right to delete or amend objectionable content or activity reported to us, as well as to suspend, deactivate, or terminate a user’s access to all or part of the Services.

You are not permitted to use our Services to distribute content that:

Contains illicit content or encourages the commission of criminal acts.
Contain serious threats or organised acts of physical violence in the actual world. We do not permit anything that poses a credible danger of bodily injury or property damage, threatens persons or public safety, or organises or promotes harm.
Harassment of others. We welcome comments on persons and public issues, but we do not accept abusive or otherwise improper speech directed at private individuals.
Infringes upon intellectual property, personal privacy, or other rights. Share no content that you do not have the right to share, do not claim as your own anything that was not created by you, and do not violate or misappropriate the intellectual property or other rights of others. Always give credit to the original copyright owner for any content you use or quote.
Others are Spam’s. Share no unnecessary or objectionable commercial, promotional, or solicitation information.
Otherwise, this is a violation of the Dnbmentors Terms of Service. Please keep in mind that extra restrictions and criteria may apply to individual Learning Programs.

You are also not permitted to:

Do anything that is a violation of local, state, national, or international law or a breach of your contractual duties.
Share your password, allow anybody to access your account, or do anything else that might jeopardize your account.
Make an attempt to get access to any other user’s account.
Unless expressly allowed, you may not reproduce, transmit, sell, resell, or otherwise exploit any material from our Services.
Unless expressly allowed, access, tamper with, or utilise non-public sections of our systems.
Unless explicitly allowed, you may not breach or circumvent our authentication or security procedures, or otherwise test the vulnerability of our systems or networks.
Attempt to reverse engineer any of our Services.
Try to disrupt any user, host, or network by spreading a virus, overloading, spamming, or mail-bombing.
Use our Services to spread malware.
Impersonate or misrepresent your association with any individual or organization.
Encourage or assist anyone who want to perform any of the items on this list.

Governing Law and Jurisdiction

Complete agreement & severability. This Agreement is the whole understanding between you and us about the Services. These Terms replace any earlier, contemporaneous discussions and proposals made between you and us regarding the Services (whether oral, written, or electronic). If any provision of these Terms is determined to be unenforceable or invalid, that provision or sections will be reduced or removed to the extent required to ensure that these Terms remain in full force and effect and enforceable. In the event that any Party fails to exercise any right provided for herein, such failure shall not be construed as a waiver of any additional rights provided for herein.
Relationship between both parties. Dnbmentors and you are both independent contractors. The Parties are not forming a partnership, franchise, joint venture, agency, fiduciary, or employment relationship in any way as a result of these Terms. You will not have any type of authority to bind us in any way. There are no third-party beneficiaries to the Terms unless clearly specified otherwise in the Terms. We have no unique connection with you, and we owe you no fiduciary obligation.
Notices. Unless otherwise provided in these Terms of Service, all notifications under these Terms shall be in writing. We will communicate with you via email at care[at]dnbmentors[dot]com. For notice to be effective, you must get formal proof of receipt. Notices to you shall be delivered to your last known email address (or to the email address of your successor, if any) and/or to any other email address reasonably likely to convey notice to you, and shall take effect immediately upon transmission.
Force majeure. We won’t be liable or responsible in any situation for any failure or delay in the fulfilment of our duties for any reason hereunder if such failure stems from: (a) any cause beyond our reasonable control, including but not limited to, mechanical, electrical or communications failure or degradation, denial-of-service (DDOS) attacks; (b) any breakdown by a third- party hosting provider or utility supplier; (c) war, governmental action, shortages, riots, fires, acts of God, terrorism, and strikes.
Interpretation. The headings are used solely to aid in the reading and comprehension of these Terms.
No waiver. Our omission to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce that provision or any other provision of these Terms in the future. Waiver of compliance in one case does not imply future waivers.
For Additional Paid Services. Except as expressly indicated in this Refund Policy or during the Service’s sign-up procedure, Dnbmentors is under no obligation to give refunds or vouchers for any other Services.
